Proforma & Invoice Terms and Conditions
General Terms:
Due for Payment on Receipt of Proforma Invoice.
All queries to be informed to EXCELR8 within 14 days of invoice.
Late Payment:
Interest will be charged on late payments at a rate of 1% per month (12% per annum) or Bank of England base rate plus 10% per annum if greater. We reserve the right to pass your details to our debt management service if you fail to make payment within 30 days. You will be liable for all costs associated with the recovery of monies owed.
Title of Goods
Title to the Goods detailed in this invoice shall remain vested in EXCELR8s name and shall not pass to the Buyer until the purchase price for the Goods has been paid in full and received by EXCELR8. Until title to the Goods passes:
– EXCELR8 shall have authority to retake, sell or otherwise deal with and/or dispose of all or any part of the Goods;
– EXCELR8 and its agents and employees shall be entitled at any time and without the need to give notice enter upon any property upon which the Goods or any part are stored, or upon which the EXCELR8 reasonably believes them to be kept;
– The Buyer shall store or mark the Goods in a manner reasonably satisfactory indicating that title to the Goods remains vested in EXCELR8s name; and
– The Buyer shall insure the Goods to their full replacement value, and arrange for EXCELR8 to be noted on the policy of insurance as the loss payee.
Irrespective of whether title to the Goods remains vested in EXCELR8s name, risk in the Goods shall pass to the Buyer upon delivery to or collection by the Buyer.
Any items or labour on quotations for approval at the workshop that are declined and then fitted at circuit will be chargeable at the normal rate including labour.
